Definitions
- Client: The business or individual (with ABN) engaging Voicedrop’s services.
- Voicedrop: The service provider offering automation and communication services, operated by Voicedrop Pty Ltd ATF The Voicedrop Business trust T/A Voicedrop, ABN 95 280 049 220.
- Referred Prospect: The prospect being referred to Voicedrop’s Clients.
Services Provided Voicedrop provides infrastructure and automation services for inbound and outbound communication, including voice messaging and notifications to enhance customer engagement and marketing activities. Our services are designed to assist clients in automating communication processes effectively and efficiently.
Subscription Model Voicedrop offers a subscription-based model for access to its services. Clients can select from various subscription tiers, which may include different levels of service, volume allowances, and support. The subscription fee is payable on a monthly basis, and failure to pay may result in suspension or termination of services.
Prospecting Lists Clients must ensure that their prospecting lists comply with all relevant laws and regulations, including those related to consent for communication.
Cost of Sourcing Lists Clients are responsible for paying the costs associated with sourcing lead lists where prospects have opted in to be contacted.
Network Traffic Costs Clients must pay for traffic costs incurred by sending and receiving voicemails, notifications, and other communications. Voicedrop passes through all gross costs without adding any margin. These costs will be invoiced monthly and must be paid within 7 calendar days. Voicedrop refers to Twilio’s pricing, which may change without prior notice.
No Guarantee of Specific Outcomes While Voicedrop aims to provide effective automation services, we do not guarantee specific financial outcomes, performance, delivery success, or customer response rates. The effectiveness of our services depends on various factors, including market conditions and client-specific circumstances.
Onboarding Process Voicedrop is committed to a smooth onboarding experience, which includes service introductions, account setup, initial training, and ongoing support.
Client Responsibilities Clients are fully responsible for complying with all regulatory requirements regarding unsolicited marketing communications, including telemarketing and consumer protection laws.
Indemnification Clients agree to indemnify and hold Voicedrop harmless from any claims, damages, or liabilities arising from the use of our services, particularly related to unsolicited marketing activities conducted by the client.
Reporting Obligations
- Real Estate Agents: Agents must report any property listing contract with a Referred Prospect generated by Voicedrop. Inbound calls from Voicedrop are considered referrals.
- General Clients: Clients must report each contractual engagement, such as property listing agreements with Referred Prospects, within 7 days to ensure transparency and accurate commission tracking.
Termination of Subscription and Service Either party may terminate this agreement with 60 days’ written notice. Any new listings generated by Voicedrop are still covered by this agreement, and commissions remain payable to Voicedrop, even after termination. Voicedrop reserves the right to terminate or suspend services for violations of these terms or other harmful conduct, without prior notice.
Dispute Resolution Disputes arising from these terms or Voicedrop’s services will be resolved through binding arbitration in Queensland, Australia, following the rules of the American Arbitration Association.
Data Protection and Security We take reasonable steps to protect the personal data we process, but we cannot guarantee absolute security. Clients have the right to access, correct, or delete their personal data.
Service Availability and Maintenance We strive to provide continuous service availability and notify clients of planned maintenance. However, we do not guarantee uninterrupted access and are not liable for any downtime or service interruptions.
Intellectual Property Voicedrop retains ownership of all content, graphics, design, and other materials related to our services. Using our website or services does not grant clients any license or rights to our intellectual property.
Accuracy of Information While we aim to provide accurate information through our services, Voicedrop does not warrant that all information is complete or up-to-date. Clients should verify any information they rely upon.
Limitation of Liability Voicedrop is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of profits, data, or goodwill.
Amendments to Terms Voicedrop reserves the right to modify these terms at any time. Clients will be notified of changes via our website, and continued use of the service indicates acceptance of the revised terms.
Access and Use By subscribing to Voicedrop’s services, the Client confirms that they are using the services in compliance with applicable laws and regulations.
General Conditions Voicedrop reserves the right to refuse service at any time for any reason. Data transfers may be subject to various networks and may be adjusted to meet technical requirements.
Modifications to the Service Voicedrop may modify or discontinue any part of its service without notice.
Third-Party Links and Services Our service may include links or materials from third parties, and Voicedrop is not liable for any harm or damages resulting from transactions made through these third-party services.
Personal Information The handling of personal information is governed by our Privacy Policy.
Errors, Inaccuracies, and Omissions Voicedrop reserves the right to correct any errors, inaccuracies, or omissions in service-related information without prior notice.
Disclosure of Affiliate Relationships We may receive fees for referring users to third-party services, but this does not affect the integrity of our recommendations.
Prohibited Uses Clients are prohibited from using the service for unlawful purposes or in violation of any applicable laws.
Governing Law These terms are governed by and construed in accordance with the laws of Queensland, Australia.
Email Communication Clause Email communication is accepted as a legal form of communication. Both parties agree to maintain current contact details to ensure effective communication.
Acceptance of Terms By subscribing to Voicedrop’s services, the Client confirms they have read and accepted these terms.
